Check Your Company Status on Cipro

Companies now have a few more hours in the day to submit their annual returns to the Companies and Intellectual Property Office (Cipro) which has extended its office hours.

As of Wednesday, 26 January Cipro offices will be open until 6pm on weekdays until Monday, 31 January. Cipro has since 2009 urged companies and close corporations to submit their returns on time to avoid being deregistered and this year companies that fail to submit their returns will be placed into final deregistration in February.

“It was decided to allow customers to lodge annual returns at the CIPRO premises until 6pm on weekdays until 31 January 2011,” Cipro acting CEO Lungile Dukwana said on Wednesday.

“We have already noticed an increase in the number of lodgements and would like all business entities to have an opportunity to lodge their annual returns before we implement final deregistration.”

Those companies as well as close corporations that have already been placed into deregistration for failing to lodge annual returns, can still lodge outstanding returns to avoid final deregistration. This as once all annual returns have been brought up to date the business status will be reinstated as “in business”.

Should Cipro have to deregister a company or close corporation, the entity will no longer be able to conduct business as it will no longer be a registered business in terms of the Companies Act and Close Corporations Act.

This could also result in the freezing of the company’s bank account and any assets that the company or close corporation may own at the time of deregistration, will be forfeited to the state.

Cipro has appealed to clients to put their contact details on the annual returns. On 1 May 2011 the new Companies and Intellectual Property Commission (CIPC) came into being.

The Commission’s mandate is to deliver on the new Companies Act (Act 71 of 2008). The Commission brings together skills, knowledge and manpower from the Office of Companies and Intellectual Property Enforcement (OCIPE) and the Companies and Intellectual Property Registration Office (CIPRO).

The new Commission acts independently with a focus on the registration of companies and intellectual property. Further functions of the Commission, amongst others, will include education and awareness, investigations, compliance and enforcement.
