AI Governance Is Becoming a Board-Level Issue for South African Companies

19 December 2025 By Alan Straton

Johannesburg, December 18, 2025: Artificial intelligence is no longer just an operational tool. In South African companies, AI governance is fast becoming a board-level responsibility.

What started as employee experimentation has evolved into enterprise risk. Boards are now being asked to account for how AI is used, controlled, and governed across the organisation.

According to College Africa Group (CAG), many companies adopted AI before defining accountability.

“AI decisions now affect compliance, reporting integrity, and reputational risk,” says Arnold Muscat, Director at College Africa Group. “That places responsibility squarely at the executive and board level.”

Why Boards Are Paying Attention

AI touches sensitive areas. Data privacy. Financial reporting. Client communication. Decision support.

Without oversight, organisations face:

  • POPIA exposure from unmanaged data use

  • Incorrect or unverified AI-generated outputs

  • Inconsistent AI practices across departments

  • Lack of audit trails and accountability

  • Reputational damage from misuse

These are no longer IT issues. They are governance issues.

From Tool Adoption to Oversight

CAG notes a clear shift in executive discussions. Boards are asking:

  • Who approves AI use cases?

  • What data can and cannot be used?

  • How are AI outputs validated?

  • Where does accountability sit?

The focus is moving from “what tools do we use?” to “how do we control them?”

Governance Enables Productivity

Strong governance does not slow innovation. It enables it.

“Companies with clear AI rules move faster,” Muscat explains.  “Employees know what is allowed. Managers know what to approve. Boards know where risk sits.”

Effective AI governance combines:

  • Clear policies aligned to POPIA

  • Practical AI literacy for leaders

  • Defined boundaries between AI tools and data

  • Ongoing training for non-technical teams

The Competitive Reality

As AI becomes embedded in daily work, unmanaged use will become a liability. Governed use will become a differentiator.

“AI advantage will come from discipline, not experimentation,” says Muscat.

College Africa Group works with South African organisations to build practical, governance-ready AI capability, focused on real workplace use and executive accountability.
